Agreement to Terms

By accessing or using Optimly ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

Description of Service

Optimly provides free, browser-based online tools for productivity tasks including:

• Image compression, resizing, and format conversion
• QR code generation
• JSON formatting and validation
• Base64 encoding and decoding
• Color format conversion
• Text formatting utilities
• Other productivity tools as added

All tools process data locally in your web browser. We do not upload, store, or transmit your files to our servers.

Acceptable Use

You May:

• Use all tools for personal or commercial purposes
• Process unlimited files and data
• Access the Service from any device or browser
• Share links to our tools

You May Not:

• Attempt to reverse engineer, decompile, or disassemble the Service
• Use automated scripts to overwhelm our servers (scraping, DoS attacks)
• Violate any applicable local, state, national, or international law
• Process illegal content through our tools
• Remove or alter any copyright or proprietary notices
• Claim ownership of the Service or its underlying technology
• Use the Service to infringe on intellectual property rights of others

Intellectual Property

The Service and its original content, features, and functionality are owned by Optimly and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content: You retain all rights to files and data you process using our tools. We don't claim any ownership over your content.

Open Source: Portions of the Service may use open-source software. Such software is governed by its respective licenses.

Disclaimer of Warranties

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Service will be uninterrupted, timely, secure, or error-free
• Warranties regarding the accuracy or reliability of results obtained from the Service
• Warranties that defects will be corrected

Use at Your Own Risk: We make no guarantees about the quality, accuracy, or suitability of processed output. Always verify results before using them in production or critical applications.

Limitation of Liability

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, trojan horses, or the like that may be transmitted through the Service
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service
• The accuracy, quality, or results of files processed through our tools

Indemnification

You agree to defend, indemnify, and hold harmless Optimly and its affiliates, licensors, and service providers from any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Service
• Your violation of any third-party rights, including intellectual property rights

Service Availability

We strive to provide reliable service, but we do not guarantee:

• Continuous or uninterrupted access to the Service
• The Service will be free from errors or defects
• Any specific uptime or availability

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice, for any reason.

Privacy

Your use of the Service is also governed by our Privacy Policy. Please review it to understand how we handle data.

Key Privacy Point: All file processing happens in your browser. We don't upload or store your files.

User Responsibilities

Data Backup

You are solely responsible for maintaining backups of your original files. While our tools create processed versions, technical issues could result in data loss. Always keep copies of original files.

Browser Compatibility

The Service requires a modern web browser with JavaScript enabled. We support the latest versions of Chrome, Firefox, Safari, and Edge. Older browsers may not work correctly.

Security

You are responsible for maintaining the security of your device and browser. Keep your software updated and use caution when processing sensitive files on shared or public computers.

Third-Party Links

The Service may contain links to third-party websites or services that are not owned or controlled by Optimly. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

Termination

We may terminate or suspend access to the Service immediately, without prior notice or liability, for any reason whatsoever, including but not limited to:

• Breach of these Terms
• Violation of acceptable use policies
• Engaging in fraudulent or illegal activity

Upon termination, your right to use the Service will immediately cease. Since we don't use accounts, there's no data to delete upon termination.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Material changes will be noted prominently.

Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be removed or limited to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Optimly regarding the Service and supersede all prior agreements and understandings.
